Mr. Hershembaum voices a concern related to potential conflict of interest resulting from user ownership of PrimusLabs.com. Regarding ownership, as of 2/23/99 PrimusLabs.com has 21 investors. Our investors represent a wide cross section of American industries. They include a doctor, a lawyer, an automobile executive, a vintner, growers, computer sales representative and others. In fact, of the 21 investors, 9 have no family ties or occupational ties to production agriculture nor does any investor own controlling interest in PrimusLabs.com. This diverse group shares at least one common interest, and that is, that their investment, in PrimusLabs.com, is fairly and responsibly handled by the firm's management and the Board of Directors. Mr. Hershembaum's second issue related to user representation on PrimusLabs. com's Board of Directors. PrimusLabs.com's By-laws limit the number of user (defined as any individual affiliated with firms doing more than $10,000 a year in business with PrimusLabs.com) members to a minority of Board Members. Any management action or Board directive that would compromise PrimusLabs.com's credibility would be considered a breach of management's and the Board's fiduciary responsibilities to the firm's shareholders. That type of action would and should be followed by a lawsuit by the firm's non-user shareholders. User participation on PrimusLabs.com's Board has provided management with an ideal sounding board for developing new and innovative services. PrimusLabs.com's success in providing and developing effective food safety services is well recognized by buyers and suppliers of fresh produce. In 1998, after over ten years of business we changed our name from Primus Laboratories to PrimusLabs.com. I, and the other professionals that have developed PrimusLabs.com's reputation, am proud of our efforts as are the owners and Board of Directors. Primus' name throughout the fresh produce industry has become synonymous with quality services and integrity. For those reasons, our options for a name change were limited to variations that allow us to retain recognition under the name "Primus". I, and my associates at PrimusLabs.com, understand that our individual and collective credibility is our greatest asset. Our commitment to protecting that credibility through ethical performance is total.
